Terms of Service

Abacus Administrators, LLC provides self-service fund administration software. The subscribing fund and its authorised users operate the platform and are responsible for the accuracy and completeness of the information entered into it.

We are a software provider. We do not act as the fund's administrator of record, custodian, auditor, broker, adviser, or tax preparer.

Nothing on this website or within the platform constitutes investment, legal, accounting, or tax advice, and nothing here is an offer to sell or a solicitation of an offer to buy any security or interest in any fund.

You are responsible for obtaining advice from your own counsel, accountant, and other professional advisers regarding the formation, operation, reporting, and regulatory obligations of your fund.

Accounts are individual. You are responsible for maintaining the confidentiality of credentials and for activity carried out under accounts you administer.

You must promptly remove access for users who are no longer entitled to it and notify us of any suspected unauthorised access.

Subscriptions are billed in advance for the term selected: monthly at $199, quarterly at $567, semi-annually at $1,074, or annually at $1,908. All amounts are in US dollars and exclude any applicable taxes.

Unless cancelled, subscriptions renew automatically for a further term of the same length at the then-current published price.

You may cancel at any time. Service continues to the end of the period you have already paid for, and fees already paid are not refundable except where required by law.

You may export your records at any time during the subscription and before the end of a cancelled paid period.

Records entered into the platform remain the property of the subscribing fund. We process them to provide and support the service, as described in our privacy policy.

You are responsible for ensuring you have the right to provide any personal information you enter, including information about the fund's investors.

You may not use the platform to store unlawful content, attempt to gain unauthorised access to any system or another customer's data, interfere with the operation of the service, or reverse engineer the platform.

We work to keep the platform available and reliable but do not warrant uninterrupted or error-free operation. Maintenance may occasionally require the service to be unavailable.

The service is provided on an "as is" and "as available" basis, without warranties of any kind to the fullest extent permitted by law.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the subscription fees you paid in the twelve months preceding the event giving rise to the claim, and we are not liable for indirect, incidental, special, or consequential damages, including lost profits.

We may update these terms from time to time. Continued use of the service after an update takes effect constitutes acceptance of the revised terms.
